Welcome to Sogo App. These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with Sogo App (the "Service") operated by SogoApp LLC ("us", "we", or "our"). Our application provides messaging and communication services, including but not limited to text messaging, voice calls, video calls, media sharing, group messaging, and status updates. We reserve the right to modify, suspend, or discontinue any part of the service at any time without prior notice. We shall not be liable to you or any third party should we exercise our right to modify or discontinue the Service. The Service may include advertisements, and we reserve the right to include advertising in any portion of the Service.

3. User Registration

You must provide accurate and complete information during the registration process, including your legal name, valid phone number, and any other information requested. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to disable any user account at any time, including if we believe you have violated any provision of these Terms.

6. Content Ownership

You retain ownership of any content you submit, post, or display on the service, including messages, photos, videos, and other materials ("User Content"). By submitting content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Service and our business operations. This license exists only for the purpose of operating and improving the Service. You represent and warrant that you own or have the necessary rights to all User Content and that such content does not violate any third-party rights or applicable laws.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Limitation of Liability

In no event shall SogoApp LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of the service. To the maximum extent permitted by applicable law, our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us, if any, in the twelve (12) months prior to the event giving rise to liability, or one hundred dollars ($100), whichever is greater.

9. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via the application, email, or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified terms, you must stop using the Service.

11. Age Requirements and COPPA Compliance

The Service is not intended for children under 13 years of age in the United States, or under the applicable minimum age in other jurisdictions. We do not knowingly collect personal information from children under these ages. In compliance with the Children's Online Privacy Protection Act (COPPA) and similar international regulations, if we learn that we have collected personal information from a child under the applicable minimum age without parental consent, we will delete that information as quickly as possible. If you are a parent or guardian and believe your child has provided us with personal information, please contact us immediately.

12. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of SogoApp LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right to use Sogo's trademarks, logos, or other brand features.

13. DMCA Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to valid notices of alleged copyright infringement. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

• A physical or electronic signature of the copyright owner or authorized representative

• Identification of the copyrighted work claimed to have been infringed

• Identification of the material that is claimed to be infringing

• Your contact information

• A statement of good faith belief that the use is not authorized

• A statement under penalty of perjury that the information is accurate

14. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Indemnification

You agree to defend, indemnify, and hold harmless SogoApp LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property right or privacy right.

16. Dispute Resolution and Arbitration

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in English in San Francisco, California. Each party will bear its own costs of arbitration unless otherwise awarded by the arbitrator. YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS, YOU AND SOGO INC. ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. This arbitration clause does not preclude you from bringing issues to the attention of federal, state, or local agencies.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For users outside the United States, we also comply with applicable local laws and international regulations, including but not limited to the GDPR for European users. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. International Users and Export Controls

The Service is controlled and operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws. The Service may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, re-export, or transfer the Service or any technical data derived from the Service, except in compliance with all applicable laws and regulations, including U.S. Export Administration Regulations.

Our Service may contain links to third-party websites or services that are not owned or controlled by SogoApp LLC We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any third-party content, goods, or services available through such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party services you visit.

20. Encryption and Security

We implement industry-standard security measures to protect your data, including end-to-end encryption for messages where technically feasible. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security. You are responsible for maintaining the security of your device and for any activity on your account, whether or not authorized by you.

21. Data Retention and Deletion

We retain your personal information for as long as necessary to provide you with the Service and for legitimate and essential business purposes, such as maintaining performance, making data-driven business decisions, complying with legal obligations, and resolving disputes. When you delete your account, we will delete your personal information from our active databases, though some information may be retained in backup systems for a limited period or as required by law. Messages sent to other users may remain in their message history even after you delete your account.

By creating an account, you agree to receive communications from us, including service announcements, administrative messages, and promotional materials. In compliance with the CAN-SPAM Act and similar international regulations, you may opt out of promotional emails at any time by following the unsubscribe instructions in those emails or by contacting us directly. You cannot opt out of service-related communications, which are not promotional in nature.

If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

25. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and SogoApp LLC concerning the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

26. Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms, in whole or in part, without our prior written consent. We may assign these Terms or any rights under these Terms without your consent to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Any attempted assignment in violation of this section shall be null and void.
